
Ms. Gao Danyang obtained both her undergraduate and postgraduate degrees from China University of Political Science and Law (CUPL), where she earned a Bachelor of Laws (LL.B.), a Bachelor of Arts (B.A.), and a Master of Laws (LL.M.). She is currently pursuing a Ph.D. in Commercial Law at CUPL. Prior to joining her current practice, Ms. Gao worked at the headquarters of a leading “Red Circle” law firm. Her primary practice areas focus on commercial dispute resolution and corporate matters, with particular expertise in corporate equity, financial asset management, and securities law.
In the area of commercial disputes, Ms. Gao has handled numerous high-profile litigation and arbitration cases heard by the Supreme People’s Court, various High People’s Courts, as well as leading arbitration institutions such as the Beijing Arbitration Commission (BAC) and the China International Economic and Trade Arbitration Commission (CIETAC). Representative matters include an equity transfer arbitration involving nearly RMB 10 billion for a major investment group, multi-billion-RMB equity disputes concerning a listed subsidiary of Shandong Energy Group, and a series of corporate disputes involving subsidiaries of China Huadian Corporation, among others. Many of these cases resulted in complete victories or substantial limitation of liability, with an aggregate disputed amount exceeding RMB 10 billion.
With respect to securities litigation and compliance, Ms. Gao is highly experienced in handling disputes and regulatory responses arising from the issuance and trading of bonds, equities, and asset-backed securities (ABS), including cases involving misrepresentation liability, insider trading, and market manipulation. She has been deeply involved in a number of landmark cases, including Case No. 1 of the Beijing Financial Court, the Shengtong Bond Case, Wuyang Bond Case, Kangde Xin Bond Case, and a Supreme People’s Court case concerning predictive information misrepresentation, among others. Through these matters, she has developed a profound understanding of judicial practice in the securities field.
Ms. Gao possesses a holistic perspective on capital markets, with project experience spanning multiple stages, including company formation, venture capital and private equity investment, IPOs, and mergers and acquisitions. She is able to provide clients with forward-looking, integrated legal solutions that bridge primary and secondary markets and combine litigation and non-litigation perspectives, enabling precise and practical solutions to issues arising in capital operations and corporate governance.
Ms. Gao has participated in a number of major research projects, including those commissioned by the State Administration for Market Regulation on commercial registration system reform and amendments to the Company Law, as well as a National Social Science Fund major project on legislative issues concerning corporate social responsibility in China. She has authored multiple influential scholarly articles on company law and securities law, and contributed to the drafting of professional publications such as the Guidelines for Handling Corporate Dispute Cases, organized and published under the supervision of the Supreme People’s Procuratorate. She demonstrates strong academic rigor and research capability.
Ms. Gao is qualified to practice law in the People’s Republic of China. She has provided legal services to central and state-owned enterprises, listed companies, large private enterprises, leading universities, and cutting-edge technology companies.
